Terms of Sale

The seller is OSSEOTOUCH LLC, a Limited Liability Company organized under the laws of the State of Alabama, United States. OSSEOTOUCH LLC operates as the U.S. distributor of medical devices manufactured by Meta Ergonomica S.r.l. (Italy), the legal manufacturer registered and listed with the U.S. FDA, and distributed under the OSSEOTOUCH brand owned by OSNRGY SRL.

These Terms apply only to orders shipped to U.S. addresses. Orders for delivery outside the United States are handled by OSNRGY SRL or its regional distributors and are governed by separate terms.

Our products are professional medical devices intended for use by qualified healthcare professionals only. By placing an order you confirm that you are a licensed healthcare professional or a duly authorized representative of a healthcare practice.

Submitting an order — whether through Stripe checkout or through a Customer Service quote request — constitutes an offer to buy. Your order is accepted only when:

• Stripe checkout: payment is successfully authorized and you receive an order confirmation email from us
• Customer Service flow: you receive and pay the QuickBooks invoice we issue after reviewing your request

OSSEOTOUCH LLC reserves the right to refuse or cancel any order at our discretion, including for reasons of suspected fraud, regulatory restrictions, product unavailability, or pricing errors. If we cancel an order after payment, we will refund the full amount paid.

All prices on osseotouch.com are listed in U.S. dollars (USD) and exclude any applicable sales tax. Prices may change at any time without notice; the price applicable to your order is the price displayed at the moment your order is accepted.

Pricing displayed on the configurator and in the cart is indicative for orders that route through Customer Service: the final price (including any setup fee, expedited shipping, or training option you may request) is confirmed in the QuickBooks invoice we issue. No payment is collected for Customer Service orders until you approve the invoice.

Despite our best efforts, a small number of products on the website may be mispriced. If we discover a pricing error after order acceptance, we will contact you to either confirm the corrected price or cancel the order with a full refund.

Two payment paths are available:

• Stripe checkout: credit and debit cards processed by Stripe Inc. Payment is captured immediately upon order placement
• QuickBooks invoice (Customer Service flow): invoices issued through QuickBooks Online (Intuit Inc.) with a Pay Now link. Payment is due according to the terms stated on the invoice

OSSEOTOUCH LLC does not store full payment card details. All cardholder data is handled directly by Stripe or QuickBooks/Intuit, both PCI-DSS compliant payment processors.

OSSEOTOUCH LLC is registered in the State of Alabama. Sales tax is collected only on orders shipped to Alabama addresses, at the rate applicable at the time of order. Orders shipped to other U.S. states do not have sales tax added at checkout.

Use tax obligations on out-of-state purchases, where applicable under your state's law, are the responsibility of the buyer.

OSSEOTOUCH LLC offers free nationwide U.S. shipping on all orders. Standard packaging and shipping are included in the listed price. Expedited or special-handling shipping options may be available at additional cost on request, especially for Customer Service orders.

Orders are typically packed and shipped within 1–2 business days from order acceptance (Stripe checkout) or invoice payment (Customer Service flow). Tracking information is sent by email when the order leaves our warehouse.

Risk of loss passes to the buyer when the carrier takes possession of the goods. Title passes to the buyer upon full payment. Damages occurring during shipping must be reported within 7 days of delivery — see the DOA policy.

Returns are governed by our Returns & Warranty policy, which is incorporated into these Terms by reference. Key points:

• 30-day return window for unopened/unused products, subject to a 10% restocking fee
• 24-month limited warranty on the Magnetic Mallet device, handpiece and foot pedal against manufacturing defects
• DOA (Dead On Arrival) replacement within 7 days of delivery
• RMA number required for any return — issued by Customer Service together with return shipping label and address
• Used products must be cleaned, decontaminated and accompanied by a decontamination statement before being returned

OSSEOTOUCH products are medical devices intended for use by qualified healthcare professionals operating within the scope of their license. The buyer represents that:

• It is a licensed dental, oral surgery, periodontology or implantology practice, or an authorized dental supply distributor
• It will use the products only in accordance with the Instructions for Use (IFU) and applicable clinical protocols
• It will not resell the products to consumers (non-professionals)
• It will perform proper sterilization, maintenance, and disposal of single-use components per the IFU

OSSEOTOUCH disclaims liability for any use of the products outside the scope of the IFU, by unqualified personnel, or for any application not approved or registered with the U.S. FDA.

All trademarks, logos, product designs, patents, trade dress, copyrights, technical content (Instructions for Use, training materials, manuals, clinical protocols), and software embedded in or accompanying the products remain the exclusive property of OSSEOTOUCH (OSNRGY SRL), Meta Ergonomica S.r.l., or their respective licensors.

Purchase of a product grants the buyer the right to use the product for its intended professional purpose. It does not transfer or license any intellectual property rights beyond that use.

EXCEPT FOR THE LIMITED WARRANTY EXPRESSLY SET OUT IN THE RETURNS & WARRANTY POLICY, AND TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, OSSEOTOUCH LLC DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED — INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

CLINICAL OUTCOMES DEPEND ON CASE SELECTION, SURGICAL TECHNIQUE, OPERATOR EXPERIENCE, PATIENT CONDITIONS, AND ADHERENCE TO THE INSTRUCTIONS FOR USE. OSSEOTOUCH MAKES NO WARRANTY REGARDING CLINICAL OUTCOMES.

Nothing in these Terms limits any liability that cannot be limited or excluded under applicable law.

IN NO EVENT SHALL OSSEOTOUCH LLC, OSNRGY SRL, META ERGONOMICA S.R.L., OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOST PROFITS, LOST REVENUE, LOST PRACTICE, LOST PATIENT REFERRALS, OR LOSS OF DATA — ARISING OUT OF OR RELATED TO THE PURCHASE, USE, OR INABILITY TO USE THE PRODUCTS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

THE TOTAL LIABILITY OF OSSEOTOUCH LLC UNDER THESE TERMS, FOR ANY CAUSE OF ACTION, SHALL NOT EXCEED THE PURCHASE PRICE PAID BY THE BUYER FOR THE AFFECTED PRODUCT.

Nothing in these Terms limits any liability that cannot be limited or excluded under applicable law.

The buyer agrees to indemnify, defend and hold harmless OSSEOTOUCH LLC, OSNRGY SRL and Meta Ergonomica S.r.l. from and against any claims, damages, losses, costs and expenses (including reasonable attorneys' fees) arising out of:

• Buyer's breach of these Terms or the IFU
• Use of the products by unqualified personnel
• Use of the products outside the indications cleared or registered by the U.S. FDA
• Failure to perform proper sterilization, maintenance or disposal
• Resale of the products to non-professionals

If a product is suspected to have caused or contributed to a death or serious injury, or if a malfunction may be reportable under 21 CFR Part 803, the buyer must notify OSSEOTOUCH LLC immediately at cs@osseotouch.com.

OSSEOTOUCH LLC, as U.S. initial importer / first importer, will document, assess, and report or escalate complaints as required under applicable U.S. FDA Medical Device Reporting requirements. Meta Ergonomica S.r.l. is the legal manufacturer of the Magnetic Mallet device.

The products and any technical data may be subject to U.S. export control laws. The buyer agrees to comply with all such laws and not to export, re-export or transfer the products to any country, person or end use prohibited by U.S. law.

OSSEOTOUCH LLC is not liable for any failure or delay in performance caused by circumstances beyond its reasonable control — including but not limited to natural disasters, war, terrorism, civil unrest, pandemics, supply chain disruptions, transportation failures, government action, and changes in law or regulation. We will use reasonable efforts to notify you of any such delay and to resume performance as soon as practicable.

These Terms are governed by the laws of the State of Alabama, United States, without regard to conflict of law principles. The U.N. Convention on Contracts for the International Sale of Goods (CISG) does not apply.

Any dispute arising under these Terms or out of any sale of products shall be subject to the exclusive jurisdiction of the state or federal courts located in Alabama. The buyer waives any objection based on inconvenient forum.

If any provision of these Terms is found unenforceable, the remaining provisions shall continue in full force and effect. The unenforceable provision shall be modified only to the minimum extent necessary to make it enforceable.

These Terms, together with the Returns & Warranty policy and the Privacy Policy, constitute the entire agreement between OSSEOTOUCH LLC and the buyer regarding the subject matter hereof, and supersede any prior or contemporaneous communications, representations or agreements (oral or written).

OSSEOTOUCH LLC reserves the right to modify these Terms at any time by posting the updated version at this URL. The "Last updated" date at the top of this page reflects the latest revision. The Terms in effect at the moment your order is accepted apply to that order; subsequent changes do not affect already-accepted orders.
